CURRENT ACCOUNT WITH THE UNIVERSITY OF HONG KONG The current account with The University of Hong Kong is denominated in Hong Kong dollars, unsecured, interest free and has no fixed terms of repayment. 12. DIRECTORS’ EMOLUMENTS The following disclosures are made pursuant to section 383(1)(a) to (f) of the Hong Kong Companies Ordinance Cap. 622 and Parts 2 to 4 of the Companies (Disclosure of Information about Benefits of Directors) Regulation Cap. 622G: During the year, no emoluments, retirement benefits, payments or benefits in respect of termination of directors’ services were paid or made, directly or indirectly, to the directors; nor are any payable (2016: Nil). No consideration was provided to or receivable by third parties for making available directors’ services (2016: Nil). There are no loans, quasi-loans or other dealings in favour of directors of the Foundation and of a holding company of the Foundation, their controlled bodies corporate and connected entities (2016: None). During the year and at the year end, no director of the Foundation had or has a material interest, directly or indirectly, in any significant transactions, arrangements and contracts in relation to the Foundation’s business to which the Foundation was or is a party (2016: None). 13. TAXATION The Foundation has been granted exemption from Hong Kong profits tax under Section 88 of the Inland Revenue Ordinance. 14. AUDIT FEE PricewaterhouseCoopers is the honorary auditor of the Foundation and does not charge a fee for their services. 15. APPROVAL OF THE FINANCIAL STATEMENTS The financial statements set out on pages 72 to 91 were approved by the Board of Directors on 16 January 2018. 11. 香港大學往來賬 香港大學往來賬以港幣為單位，並為無抵押免息及無固定還款 期。 12. 董事酬金 以下的披露乃根據香港《公司條例》 ( 第六百二十二章 ) 第 三百八十三條第一 (a) 至 (f) 節及公司 ( 披露董事利益資料 ) 規例》 ( 第六百二十二 G 章 ) 第二至四部份所作出： 本年度概無直接或間接向董事提供酬金、退休福利、就終止 董事服務支付款項或提供福利或應付任何款項 ( 二零一六年： 無 ) 。概無就獲取提供董事服務而給予第三者或其應收的代價 ( 二零一六年：無 ) 。 概無向董事、彼等之受控制法人團體及關連實體作出貸款、類 似貸款或以其為受益人的其他交易 ( 二零一六年：無 ) 。 本年度及於年末，基金並無簽訂任何涉及基金之業務而基金之 董事直接或間接在其中擁有重大權益之重要交易、安排或合同 ( 二零一六年：無 ) 。 13. 稅項 根據香港稅務條例第八十八條，基金已獲豁免繳納香港利得 稅。 14. 核數費用 羅兵咸永道會計師事務所是基金的義務會計師及並無收取審核 費用。 15. 核准財務報表 董事局已於二零一八年一月十六日核准第七十二頁至第九十一 頁之財務報表。
